1. Agreement to Terms

By accessing rubixsystem.com or using any RubixSystem product or service, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or organisation, you represent that you have the authority to do so.

If you do not agree to these terms, please do not use our products or services.

2. Our Services

RubixSystem provides business management software (Rubix ERP) and engineering services including digital marketing, website development, ecommerce development, custom software development, mobile app development, and AI development.

The specific terms governing your use of any product or service will be set out in a separate service agreement or statement of work, which will take precedence over these general terms where they conflict.

3. Account Registration and Access

To use Rubix ERP or certain other services, you will need to create an account. When you register:

You must provide accurate and complete information

You are responsible for maintaining the security of your account credentials

You are responsible for all activity that occurs under your account

You must notify us immediately if you suspect unauthorised access to your account

We reserve the right to suspend or terminate accounts that violate these terms.

4. Dedicated Server and Data

Each Rubix ERP client receives a dedicated server provisioned exclusively for their business. This means:

Your data is not shared with any other client or business

You are the data controller for all business data stored in your ERP

RubixSystem acts as a data processor and will only access your data as described in our Privacy Policy

The server infrastructure is maintained and managed by RubixSystem on your behalf

5. Payment and Billing

Payment terms for each service are agreed upon in your service agreement. General terms:

Invoices are due within the payment period specified in your agreement

Late payment may result in suspension of services after reasonable notice

All prices are quoted in Bangladeshi Taka (BDT) unless otherwise stated

We reserve the right to adjust pricing with reasonable notice to existing clients

6. Acceptable Use

You agree to use our services only for lawful business purposes. You may not:

Use our services to violate any applicable law or regulation in Bangladesh

Attempt to gain unauthorised access to our systems or another client's data

Upload or transmit malicious code, viruses, or harmful content

Use our services to send spam or unsolicited communications

Resell or sublicense access to our products without written permission

Reverse engineer or attempt to extract the source code of our software

We reserve the right to suspend services immediately if we believe you are in violation of these terms.

7. Intellectual Property

RubixSystem's IP:All software, designs, copy, and materials on rubixsystem.com and within our products are owned by RubixSystem or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

Rubix ERP is built on AureusERP, which is licensed under the MIT open-source license. The open-source components remain subject to their respective licenses.

Your IP:You retain ownership of all business data, content, and materials you upload or create within our products. By using our services, you grant us a limited licence to process your data for the purpose of providing the services you have contracted for.

8. Service Levels and Uptime

We aim to maintain high availability for all our hosted products. Specific service level commitments are set out in your service agreement. Generally:

We target 99.5% monthly uptime for Rubix ERP

Planned maintenance will be notified in advance where possible

We will notify you promptly of any unplanned outages affecting your system

Downtime caused by factors outside our control, including internet outages, force majeure events, or third-party service failures, are excluded from uptime calculations.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

RubixSystem's total liability for any claim arising from these terms or our services will not exceed the amount you paid us in the three months preceding the claim

We are not liable for indirect, incidental, or consequential damages including loss of profits, data loss, or business interruption

We make no warranties about uninterrupted or error-free operation of our services beyond what is stated in your service agreement

10. Termination

Either party may terminate the service relationship as set out in your individual service agreement. On termination:

You will retain access to export your data for a minimum of 90 days

After the data export period, your data will be deleted from our systems

Fees already paid are non-refundable except as described in our Refund Policy

Any outstanding fees become immediately payable

11. Governing Law

These terms are governed by the laws of Bangladesh. Any disputes will be resolved in the courts of Bangladesh. We will always try to resolve disputes informally before resorting to legal proceedings.

12. Changes to These Terms

We may update these terms from time to time. For significant changes, we will notify existing clients by email at least 30 days before the changes take effect. Continued use of our services after that date constitutes acceptance of the updated terms.
